N Chandrasekaran May Step Down as Tata Sons Chairman Ahead of August 18 AGM

N Chandrasekaran is reportedly considering quitting from Tata Sons over the coming weeks ahead of the Tata Group's key annual meeting - the AGM - from August 18 to 19, 2026. There is some uncertainty around his reappointment to the Tata Group board and the company's main shareholder Tata Trusts is unhappy with his replacement, which would also cause friction.

Chandrasekaran has thought about voluntarily stepping down and even discussed his decision with close friends, according to the report. His success as Tata Sons chairman depends on his reappointment as a director at the upcoming AGM. His reappointment has been held up before the board has decided on his reappointment. If he steps down there will be a sudden leadership shift at Tata Sons.

Tata Sons and Tata Trusts, which owns approximately 66% of Tata Sons, have a dispute about board representation, corporate direction and issues around the group’s minority shareholder Shapoorji Pallonji Group, the report said. The leadership question has become a key corporate governance problem for the company.

Chandrasekaran has been Tata Sons chairman and CEO since 2017. Before he took the top position of Tata Sons chairman, he spent years in TCS, joining the company in 1987 and becoming CEO in 2009. Tata Group has seen expansion in various fields of technology, semiconductors, electronics, aviation and electric mobility under his leadership. Tata group documents still recognize him as chairman of Tata Sons.

His current five-year executive-chairman term is to last until February 20, 2027, according to Tata Sons' earlier official appointment documents. However, his continuation beyond the AGM will be very much dependent on the board and shareholder process around his directorship.

The uncertainty is especially acute since Tata Sons is the principal holding company and promoter of the larger Tata group which includes TCS, Tata Motors, Tata Steel, Tata Power and Air India. A change at the top could have implications for the strategy of the group and capital allocation and governance.

Chandrasekaran’s resignation has not yet been officially confirmed. The August 18 AGM will give more clarity as to his future and the leadership structure of Tata Sons in general. However, it is only for now likely that he will not be fired before then (an interview with him will be given in a few months).
