Adani Energy Solutions Ltd (AESL) has announced the acquisition of IntelliSmart Infrastructure for ₹3,050 crore, a landmark deal that positions AESL as India’s largest smart metering platform. The acquisition underscores Adani’s push into digital utility infrastructure and aligns with India’s broader power distribution modernization goals.

The transaction involves the purchase of 100% equity in IntelliSmart, along with the redemption of optionally convertible debentures held by the National Investment and Infrastructure Fund (NIIF). Once completed, AESL will control a portfolio of over 4.7 crore smart meters, significantly expanding its footprint in the energy technology sector.
IntelliSmart, a joint venture between NIIF and Energy Efficiency Services Ltd (EESL), has already deployed more than 2.2 crore smart meters across states including Uttar Pradesh, Gujarat, Madhya Pradesh, Bihar, and Assam. The company has emerged as one of India’s leading smart metering service providers, playing a crucial role in reducing losses and improving billing efficiency for power distribution companies.
For AESL, the acquisition is strategically important. India has set a target to replace 250 million conventional meters under the Smart Meter National Programme. By acquiring IntelliSmart, AESL gains scale, expertise, and execution capabilities that will help it capture a significant share of this massive opportunity. Analysts estimate the smart metering business could generate revenues of over ₹30,000 crore in the coming years.
Company leaders have expressed confidence in the deal’s potential. Kandarp Patel, CEO of AESL, stated that the acquisition enhances Adani’s ability to deliver technology‑driven solutions for India’s power sector. IntelliSmart’s MD & CEO, Anil Rawal, described the transaction as a milestone that reflects the firm’s growth into a leading smart metering platform. NIIF’s Managing Partner, Vinod Giri, emphasized that the deal demonstrates NIIF’s success in building scalable infrastructure businesses.
