Zee Entertainment Enterprises Ltd. (ZEEL) and Punit Goenka are seeking urgent interim relief from the market access restrictions put on them by the Securities and Exchange Board of India (SEBI). Zee and Goenka are due to appear in the Securities Appellate Tribunal (SAT) on Wednesday.

The appeal is in response to SEBI action against Zee for allegedly unauthorised use of Zee’s property for securing loans for entities of Essel Group. Zee’s lawyer told the tribunal that Zee’s company had been barred from the securities market for two months and that there was urgent interim relief needed.
The case centres on a property located in Hyderabad's Jubilee Hills, which SEBI said was used in connection with loans worth approximately Rs 726 crore for Essel Group entities.
SEBI imposed market access restrictions
SEBI's order dated July 31 imposed a market access restriction on Zee Entertainment, while Punit Goenka and Subhash Chandra were barred from accessing the securities market for 12 months.
Goenka and Chandra have also been restricted from buying, selling, or otherwise dealing in securities during the one year.
The regulator imposed total monetary penalties of Rs 1.48 crore as a result.
The restrictions stem from SEBI's findings on Zee's fixed assets in connection with financing arrangements with promoter-linked entities.
Hyderabad property at centre of dispute
According to SEBI's findings, a fixed deposit linked to Zee's Hyderabad property was created without the required approval from the company's board or shareholders.
The regulator said the arrangement was made to secure loans for Essel Group entities.
So the issue is not just the financial arrangement as much as the company's approval and disclosure of the transaction.
In particular, SEBI questioned whether Zee's corporate assets had been used to support promoter-group entities without the necessary safeguards and approvals.
The regulator’s findings also raised issues of corporate governance, as well as minority shareholders’ interests.
Disclosure Lapses Flagged by SEBI
SEBI also noted deficiencies in Zee's disclosures on the transaction.
The regulator flagged inadequate disclosures concerning the pledge of the property and disclosures associated with the subsequent release of the title deed.
The case looked at whether shareholders had been provided with sufficient information about the use of the company's assets in connection with promoter-linked financing arrangements.
According to SEBI, the lack of regulatory approvals and information disclosure deficiencies constituted violations of applicable securities laws and corporate governance requirements.
Zee Seeks Interim Relief
The upcoming SAT hearing is important because Zee and Goenka are seeking urgent interim relief from the restrictions while their appeal against SEBI's directions is considered.
The two-month restriction on Zee's market access is particularly important for the company because it affects its ability to participate directly in securities-market activities during the period specified in the order.
Goenka and Chandra face a longer restriction of one year.
The tribunal's decision on the interim relief request may then help determine whether the restrictions will hold or not while the larger appeal is carried out.

The dispute is about Zee's fixed assets being used by entities of the Essel group to obtain financing.
SEBI's findings are focused on the creation of a fixed deposit linked to the Hyderabad property without the necessary board or shareholder approval.

SEBI ultimately concluded that the arrangements did not meet the required approval and disclosure standards and that the company’s assets were used in a manner that raised concerns about the interests of shareholders.

The immediate focus will be the request for interim relief and not only the final result of the appeal. Any relief from the tribunal could temporarily reduce the impact of SEBI's market access restrictions while the case continues.
But the proceedings add an extra layer of uncertainty to Zee Entertainment’s situation for investors at a time when corporate governance, promoter-related transactions and regulatory scrutiny are closely watched.
The dispute also highlights the importance of board and shareholder approval of corporate assets in the sale of listed companies to promoter-linked entities and what goes on in the company and its shareholders.
With the appeal due to go before SAT on Wednesday, investors will be watching the tribunal's response to Zee and Goenka's request for urgent interim relief and any further directions about the SEBI order.
