Torrent Gas Plans Updated IPO Papers for Up to $418 Million IPO

Torrent Gas, Torrent Group’s city gas distribution business, is moving a step closer to a stock market listing. According to two sources, the company will update its draft papers for an initial public offering of up to ₹40 billion and $418 million as early as this week.

And if it gets public, the IPO could be one of the largest in India’s primary market as the IPO market starts to take off.

The filing in the upcoming period is expected to be an Updated Draft Red Herring Prospectus or UDRHP, as the company has already used the confidential pre-filing route with SEBI. Torrent Gas' confidential IPO filing was approved by SEBI in June and the company was ready to proceed with the next steps of the listing.

Torrent Gas had originally submitted its IPO papers through the confidential route in March 2026. Reports at the time indicated the proposed offering was expected to be entirely an offer for sale, or OFS, and not a fresh issue of shares. In an OFS, existing shareholders sell their shares to public investors and the company does not receive any of those shares. The final structure and size can change before the IPO is launched.

The proposed listing is important for the Torrent Group, as it will see the company as the third listed company from the Gujarat-based group. Torrent Pharmaceuticals and Torrent Power are already publicly listed businesses of the group. A successful listing of Torrent Gas will also bring the group’s exposure to India’s listed equity market and give public market investors another chance to participate in the energy business.

Torrent Gas is in India's city gas distribution sector; it provides piped natural gas to households and industries and compressed natural gas to vehicle users. In eight states and one union territory, the company serves more than 200,000 households and over 1,300 industries and has around 500 CNG stations. The company is in the company's hands because the expanding distribution network is in line with India’s overall push to use natural gas in households, industry and transportation.

The business model of the company makes the IPO all the more important with the growing investor interest in infrastructure, energy distribution and businesses with well-established consumer networks. City gas distributors are typically operating in geographically authorised areas, developing pipelines, compression facilities, connections and other infrastructure to service residential, commercial, industrial and automotive customers. Torrent Gas has previously been reported to have authorisations in different districts across the country and is expanding in other states.

The confidential route has enabled Torrent Gas to keep sensitive information private during the initial regulatory review. SEBI introduced the mechanism as an alternative to the conventional public filing process, enabling companies to solicit regulatory feedback before making their draft prospectus public. Companies can subsequently submit a new draft document for the public issue.

The development is a welcome one for the IPO market in India. Reuters reported on the acceleration of primary market activity after a relatively subdued first half of 2026. Since July, 27 companies had either launched or announced IPOs - nearly matching the 28 IPOs in the first six months of the year. The revival suggests that companies are more likely to take advantage of an investor appetite and good conditions in the market.

The filing of new papers would be an important step to investors but wouldn’t necessarily mean the IPO is open for subscription. Investors would still have to wait for the final regulatory process, issue details, valuation, price band, subscription dates and other information to be disclosed. The UDRHP and later documents would be a very helpful reference for understanding the company’s financial performance, risks, business strategy and prospective share sale.

Torrent Gas’ proposed IPO also demonstrates the continuing growth of India’s city gas distribution industry. PNG and CNG increasingly used by households, industries and vehicle owners are leading companies on building infrastructure and increasing their network. At the same time, commodity price movements, regulatory requirements, capital expenditure needs and competition from other energy sources are all on the rise for this sector.

If Torrent Gas does go ahead with the ₹40 billion offer it will attract a lot of interest as it is affiliated to Torrent Group, has a city gas distribution business and the IPO momentum is going on in India. The new draft papers will be another step in the company's journey to becoming a public company although the size, structure and timing of the issue will be subject to regulatory approval and market conditions.
